Wealthy BC Individual Faces Setback in Hudson’s Bay Lease Bid

A wealthy individual from British Columbia faced a setback in her attempts to secure former Hudson’s Bay locations as a tenant following a ruling by Ontario Superior Court Justice Peter Osborne. The court decision stated that landlords of the bankrupt retailer are not obligated to accept Ruby Liu as a tenant, citing concerns about her ability to fulfill the lease terms.

The judgment, which followed a lengthy process involving extensive documentation from various commercial landlords and investors, marks a significant development in the ongoing legal battle over 25 Hudson’s Bay leases valued at $69.1 million. While some of Liu’s lease proposals were approved due to her existing mall ownership in British Columbia, the majority faced opposition from prominent landlords such as Cadillac Fairview, Oxford Properties, and Ivanhoé Cambridge.

The dispute arose after Hudson’s Bay sought creditor protection earlier this year, leading to the liquidation of its stores and the subsequent sale of assets, including leases. Liu, who aimed to establish a new department store chain bearing her name, encountered resistance from landlords who raised concerns about her lack of preparedness, business plan, and financial capacity for extensive renovations.

Despite assertions from Liu, who emphasized her success in Chinese real estate and existing mall ventures, landlords and lenders, including Pathlight Capital, expressed skepticism about her proposed budget and operational timeline. They argued that Liu’s plans conflicted with lease terms and could result in financial risks for the properties.

The court’s evaluation under the Companies’ Creditors Arrangement Act highlighted the need to assess Liu’s suitability as a tenant, her ability to meet lease obligations, and the endorsement of the court-appointed monitor, Alvarez & Marsal. While the monitor acknowledged Liu’s financial capability, concerns were raised regarding her lack of experience and the challenges associated with her ambitious project.

As the legal proceedings unfold, both parties have the option to appeal the court ruling, signaling a potential continuation of the contentious battle over the fate of the Hudson’s Bay leases.
